The Smarter Web Company Sells 177.89 Bitcoin to Repay Debt
Repayment of Smarter Convert Instrument
The Smarter Web Company has taken a significant financial step by repaying its $11.7 million Smarter Convert instrument earlier than expected. The company achieved this by selling 177.89 Bitcoin at an average sale price of $65,762 per coin, just over two weeks before the instrument’s maturity date. This early repayment has effectively avoided the potential issuance of over 7.7 million ordinary shares that would have resulted from the financing structure.
Strategic Financial Decisions
By liquidating part of its Bitcoin holdings, the company has simplified its capital structure. The repayment eliminated the potential issuance of 7,718,551 ordinary shares linked to the Smarter Convert arrangement. Following the transaction, The Smarter Web Company maintains ownership of 2,700 BTC in its treasury and no longer considers convertible instruments as a viable funding option.
Company’s Bitcoin Holdings and 10 Year Plan
In its official announcement, The Smarter Web Company detailed that the Bitcoin sold was acquired initially through proceeds from the Smarter Convert financing. Additionally, under the original agreement established in August 2025, a minimum of 98% of subscription proceeds were to be invested directly in Bitcoin.
Despite this sale, The Smarter Web Company has continued expanding its Bitcoin reserves, now totaling 2,700 BTC after completing the required repayment. The firm had previously reported 2,470 BTC in its treasury following a buy in early September 2025 and announced plans to grow this figure significantly as part of its ongoing 10 Year Plan.
Comments from Leadership
Andrew Webley, the chief executive of The Smarter Web Company, commented on the decision, stating that while the Smarter Convert instrument provided crucial financial flexibility during the early stages of the company’s treasury strategy, it no longer aligns with their current objectives. Webley also expressed appreciation for the support from TOBAM, the investment manager involved during this period.
Conclusion
The elimination of the convertible instrument signals a robust strategy shift for The Smarter Web Company, emphasizing a concentrated effort on building its Bitcoin reserves while enhancing its overall financial stability. The company continues to assert its position as one of the largest publicly traded Bitcoin holders in the UK, aiming to drive steady growth in its cryptocurrency treasury.
