Bithumb Targets 2028 IPO with Comprehensive Governance Changes

Bithumb Targets 2028 IPO with Comprehensive Governance Changes

Bithumb, one of South Korea’s leading cryptocurrency exchanges, has officially set a target to complete its initial public offering (IPO) by 2028. The exchange has laid out a roadmap that includes significant upgrades to its governance, financial reporting, and internal control systems.

Roadmap to 2028 IPO

The plan involves a multi-stage process that begins with internal improvements. Bithumb aims to finish its transition to Korean International Financial Reporting Standards (K-IFRS) and enhance internal control mechanisms by 2026. Following these developments, the exchange intends to seek listing approval in 2027.

Strengthening Governance and Risk Management

To facilitate its public listing, Bithumb is restructuring its business model by spinning off Bithumb Asset, which will help in delineating responsibilities across various business units. The exchange is also enhancing its risk management framework, working alongside prominent domestic accounting firms.

As part of its commitment to transparency, Bithumb plans to provide regular disclosures on its financial health, management matters, and cryptocurrency holdings.

Collaboration with Key Stakeholders

Bithumb is collaborating with both domestic and international securities firms to assess its corporate value and prepare for necessary audits. The exchange has also signed an IPO advisory agreement with Samjong KPMG, which will remain in effect until the end of 2027, to assist with listing preparations.

Regulatory Challenges and Compliance Actions

As Bithumb moves forward with its IPO plans, it is concurrently addressing regulatory challenges within South Korea. Recently, the Personal Information Protection Commission fined the exchange approximately 210 million won ($136,000) for violating rules regarding the overseas transfer of user data. Furthermore, Bithumb has faced scrutiny related to anti-money laundering compliance, which has influenced its operational practices.

A Focus on Governance and Transparency

Bithumb’s IPO is designed not just to scale the company but to enhance managerial transparency and foster trust with its customers. In this ongoing effort, the exchange has streamlined its business structure to mitigate potential conflicts of interest and improve corporate governance.

To further support its IPO preparations, Bithumb is committed to increasing communication with investors, regulators, and the media, facilitating more systematic public updates throughout the process.

Future of Crypto Regulation in South Korea

While Bithumb’s listing ambitions unfold, South Korean lawmakers are actively discussing a regulatory framework through the proposed Digital Asset Basic Act, aiming to set comprehensive legal standards for the cryptocurrency industry. This evolving regulatory landscape is critical as it lays the groundwork for the future operations of exchanges like Bithumb.
