Nasdaq-listed Zhibao Technology, a digital insurance provider based in Shanghai, has announced plans to possibly add 3,500 Bitcoin, valued at approximately $220 million, to its treasury through a proposed private investment in public equity (PIPE) agreement. This move illustrates Zhibao’s strategy to potentially reshape its financial structure and enhance its balance sheet.

Details of the Proposed Financing

The non-binding agreement involves a stock sale to be settled in Bitcoin rather than cash, allowing the company to immediately establish a substantial Bitcoin treasury if it is finalized. According to the term sheet, the buyer, referred to as Joyertech, is expected to gain the authority to appoint a majority of Zhibao’s board members upon the completion of the transaction.

The transaction represents a shift from conventional treasury operations, where companies usually raise capital in cash before purchasing Bitcoin. Instead, Zhibao’s approach will involve direct Bitcoin transfer in exchange for the newly issued securities, should all regulatory and compliance conditions be met.

Market Reaction and Current Obligations

Following the announcement, Zhibao’s stock experienced a surge from around $0.15 to nearly $0.40 before stabilizing near $0.24. This increase represents a move of approximately 60% above its price prior to the announcement. However, just a week earlier, Zhibao had reported receiving a deficiency notice from Nasdaq due to its share price falling below the minimum bid requirement of $1, with shares trading at about $0.22. The company now has until January 6, 2027, to comply with Nasdaq’s listing standards.

Exploring Treasury Strategies

The announcement of this PIPE financing arrives amid a broader trend within public companies experimenting with various models to establish and manage Bitcoin reserves. Unlike entities that depend primarily on share offerings, some firms are linking their Bitcoin accumulation strategies to operating cash flow. For instance, other companies have recently raised significant capital to directly fund Bitcoin purchases.

Despite the diversifying strategies among different firms, Zhibao’s attempt remains contingent upon the completion of satisfactory legal and financial due diligence, regulatory approvals, and final agreements.
As Zhibao moves forward with its proposed transaction, it will be key to observe how this could impact its operational focus and financial management moving forward.
