Goldman Sachs to Acquire Neos Investments

Goldman Sachs has announced its plans to acquire Neos Investments for up to $2.25 billion. This acquisition is set to enhance Goldman Sachs’ asset management capabilities by adding three Bitcoin and Ethereum options-income exchange-traded funds (ETFs) that collectively manage over $1.1 billion.

Details of the Transaction

The deal will incorporate Neos Investments, which manages more than $30 billion across 19 options-based income ETFs, into Goldman Sachs Asset Management. The completion of the acquisition is anticipated in the first quarter of 2027, pending regulatory approval and other customary closing conditions.

Introducing New Crypto ETFs

Among the funds being acquired are the Neos Bitcoin High Income ETF (BTCI), Boosted Bitcoin High Income ETF (XBCI), and Ethereum High Income ETF (NEHI). These products provide Goldman Sachs with a stronger foothold in the crypto income product market. The BTCI, launched in October 2024, has emerged as Neos’ largest crypto ETF with over $1 billion in net assets.

Understanding the Fund Mechanisms

Instead of holding Bitcoin directly, the BTCI ETF gains exposure through Bitcoin-linked exchange-traded products and utilizes an options strategy for generating distributions. The new acquisition will also introduce XBCI, which targets 150% exposure to BTCI’s strategy, and NEHI, which seeks to use a similar income-generating approach for Ether.

Impact on Existing Products

This acquisition comes just months after Goldman filed to launch its own Bitcoin income fund, the Goldman Sachs Bitcoin Premium Income ETF. Analysts suggest that inheriting Neos’ established products, including the assets of BTCI, may provide an advantage over its competitors, such as BlackRock, who currently have their own Bitcoin income ETF in the market.

Industry Competition Heats Up

Following BlackRock’s launch of its iShares Bitcoin Premium Income ETF in June, the competition in the Bitcoin options-income product space has intensified. BlackRock’s fund also employs a call options strategy, positioning it similarly to the offerings being acquired by Goldman Sachs.

Broader Implications for Goldman Sachs

Goldman Sachs’ acquisition of Neos follows its earlier acquisition of Innovator Capital Management for approximately $2 billion. The combined assets from these acquisitions position Goldman to become a significant player in the options ETF sector, which currently manages around $180 billion across the industry.

As part of the integration, Neos co-founders Troy Cates and Garrett Paolella are expected to take on roles at Goldman Sachs, along with additional investment and client service professionals from Neos.
