Bitcoin-backed lending is witnessing a significant transformation as public companies turn to this financial tool to support acquisitions and capital expenditures without liquidating their bitcoin assets. This trend marks the entry of bitcoin-backed lending into its institutional era, highlighted by notable deals such as Marathon Digital Holdings (MARA) securing a substantial loan against its bitcoin holdings.

Marathon Digital’s Major Loan Agreement

In August, Marathon pledged 18,750 BTC as collateral to obtain $600 million through term loans from Coinbase Credit and Two Prime Lending. At the time of the transaction, the collateral represented approximately 53% of Marathon’s bitcoin holdings, valued at around $1.2 billion. The funds are intended for various corporate purposes, including the planned acquisition of Long Ridge Energy & Power, a gas-fired power plant in Ohio that is expected to enhance both bitcoin mining and artificial intelligence infrastructure.

Shifting Dynamics in Corporate Finance

This financing development indicates a broader shift among corporate bitcoin holders, as companies increasingly view their digital assets as viable collateral rather than liquidating them for cash. Alexander Blume, CEO of Two Prime, remarked that the demand for secured BTC loans is evolving, offering institutions tailored loan structures that include longer durations and specialized terms.

Market Expansion and Sophisticated Structures

Two Prime’s loan to Marathon carries a fixed interest rate of 7.65%, maturing in August 2028. According to Blume, institutional borrowing against bitcoin has seen an uptick recently, with firms utilizing their holdings for finance while retaining their investments. The evolving structures now feature comprehensive agreements detailing provisions about margin calls, collateral custody, and liquidation, reflecting increasing sophistication in this segment of the market.

Future Implications for Bitcoin and Financial Systems

Other lenders like Ledn and Kraken are further broadening the market through the development of asset-backed securities and warehouse facilities linked to bitcoin collateral. This evolution in the lending landscape could pave the way for transformational changes in how financial assets operate on blockchain technology. Blume emphasized that as more companies incorporate bitcoin into their balance sheets, the capability to leverage those assets through loans will become a crucial aspect of modern corporate finance.
