MARA Secures $600 Million Loans Backed by BTC Pledge

MARA Holdings recently announced that it secured $600 million in new loans on August 4, 2026, after pledging 18,750 BTC as collateral, valued at approximately $1.2 billion. The decision was detailed in a quarterly filing submitted to the U.S. Securities and Exchange Commission on August 6.

Details of the Loans

The new financing consists of two lending facilities made possible through partnerships with Coinbase Credit and Two Prime Lending. Coinbase contributed a total of $450 million, which includes $300 million in new funding and the refinancing of MARA’s existing $150 million credit line. Meanwhile, Two Prime provided a $300 million term loan with a fixed interest rate of 7.65%, maturing in August 2028.


Use of Loan Proceeds

MARA intends to utilize the proceeds from these loans for general corporate purposes, specifically to help finance part of its anticipated acquisition of Long Ridge Energy & Power. This agreement, previously announced in April at an enterprise value of around $1.5 billion, involves integrating the acquired property with existing operations in Hannibal, Ohio.

Impact on Bitcoin Holdings

The pledged 18,750 BTC represents about 53% of MARA’s total holdings of 35,577 BTC as of June 30, 2026. This move to secure financing highlights the company’s strategy of leveraging its Bitcoin reserves while also exposing it to certain risks associated with the volatility of cryptocurrency prices. Should Bitcoin values decline, MARA is required to maintain specific collateral ratios or face potential liquidation of its pledged assets.

Refinancing and Interest Expenses

In terms of financial management, the loans carry a combined principal of $750 million, although only $600 million is categorized as new borrowing. At current rates, the borrowing could result in approximately $56.7 million in annual interest expenses if all principal remains outstanding.

Future Prospects for MARA

Looking ahead, MARA is poised to complete the Long Ridge acquisition, which has a closing deadline potentially extendable until June 30, 2027. The current loans provide significant liquidity, allowing MARA to sidestep immediate large Bitcoin sales or further equity issuance, while also embedding a portion of its Bitcoin holdings into the lending collateral requirements.
