The anticipated sale of the once-prominent cryptocurrency exchange BitMEX has unraveled, as potential buyers, including the payments platform Exodus, opted not to proceed due to significant concerns regarding the company’s ownership structure and its declining market performance.

Challenges in Securing a Buyer

A source familiar with the negotiations revealed that the strong control exerted by the founders and the exchange’s waning business growth raised red flags during the discussions. In the period leading up to its recent announcement to cease operations, BitMEX had engaged in extensive talks with multiple interested parties, including competitor exchanges.

Despite attempts to facilitate a sale process, the lingering influence of co-founders Arthur Hayes, Ben Delo, and Samuel Reed – who have not been involved in the day-to-day operations since facing U.S. criminal charges in 2020 – created unease among potential acquirers. The founders retained a significant majority stake, complicating negotiations as buyers typically seek part of the acquisition payout to retain key executives post-sale.

Financial Decline Undermines Valuation

As negotiations progressed, BitMEX struggled with a loss of market share, as trading volume shifted to larger centralized exchanges and innovative decentralized platforms. This shift made potential bidders hesitant to offer a revenue multiple that is generally associated with businesses showing healthy growth.

Reports indicated that BitMEX was aiming for a valuation of approximately $1 billion; however, it remains unclear whether any formal bids were actually submitted. The company’s operations were officially discontinued on July 24, with a planned closure set for September 23, 2026.

Recent Trends in Crypto M&A Activity

The unsuccessful sale of BitMEX occurs amidst a broader resurgence in cryptocurrency mergers and acquisitions, counter to its struggles. Institutional buyers have resumed interest, reflected in recent significant transactions, such as SBI Holdings’ acquisition of the Japanese exchange Bitbank for $289 million.

Despite the increase in market activity, BitMEX’s operational challenges, ongoing legal concerns, and founder operational control proved too significant for potential buyers to overlook. Current legal issues faced by the exchange include a lawsuit alleging misconduct related to the management of customer collateral and insider trading practices.

The BitMEX case highlights the complexities and risks associated with cryptocurrency business transactions, signaling potential buyers to tread cautiously in future deals.
